1. About these terms

These terms are an agreement between you and Talent Shares, Inc., a Delaware corporation ("Talent Shares", "we" or "us"). They apply when you use the Talent Shares app, talent-shares.com and our other services. By creating an account or making a purchase, you agree to these terms and to our Privacy Policy.

A Talent is a musician, athlete, actor, creator or other person who offers memberships on Talent Shares. Talents agree to separate terms with us.

2. Who can use Talent Shares

You must be at least 18 years old and live in the United States to create an account and to buy, hold or sell a membership. You must be able to form a binding contract. You may not use Talent Shares if we have closed your account before or if the law does not allow you to.

3. Your account

You need an account to buy or sell a membership. Please give us accurate details and keep them up to date. Keep your password private. You are responsible for what happens on your account. If you think someone else has used it, tell us at once at info@talent-shares.com.

4. Memberships

A membership from a Talent gives you a place in that Talent's fan community on Talent Shares and the perks that come with it. Each Talent offers a fixed number of memberships. Once the first membership is sold, that number does not change. A Talent may keep some of these memberships and offer them later. A Talent may also offer a separate special edition, for example for a tour or an album, with its own fixed number of memberships.

We set the launch price of a Talent's memberships. After launch, members who resell a membership set their own prices, as described in section 8.

A membership is a personal license to take part in the Talent's community and to receive its perks, under these terms. It does not make you an owner of the Talent, of Talent Shares or of anything the Talent creates.

You may not transfer a membership outside Talent Shares. The only way to transfer a membership is to sell it to another member on Talent Shares.

5. A membership is not an investment

Please buy a membership because you want the community and the perks. A membership gives you no share of the income of the Talent or of Talent Shares, no dividend, no vote and no right to any payment.

You may resell a membership to another member, but resale prices are set by members and are not guaranteed. We do not promise that anyone will want to buy your membership, or at what price. You should not expect to make money from a membership. We do not give investment, tax or financial advice.

6. Buying a membership

You choose memberships in the Talent Shares app, and you pay on talent-shares.com. Prices are in US dollars. The price you see before you pay includes any sales tax we are required to collect. When you buy from the Talent, paying from a bank account costs 2% less than paying by card or Apple Pay.

Stripe, Inc. processes all payments. By paying, you also agree to Stripe's terms. We never see or store your full card or bank account number.

You can buy a membership from the Talent at the price shown. You can also buy one from another member by setting the most you are willing to pay. In that case we save your payment method, the purchase goes through at the time shown in the app, and we charge you then. You never pay more than your maximum. If no membership is available at or below your maximum, you are not charged.

If you pay from a bank account, you get your membership right away. The payment takes about four business days to clear, and during that time you cannot sell the membership. While a bank payment is clearing, we may limit how much more you can buy by bank.

7. Optional subscriptions

Some Talents offer an optional monthly subscription with extra perks. You never need a subscription to buy or keep a membership. Some perks are also offered as monthly add-ons, which work in the same way.

If you subscribe, we charge the payment method you chose once a month until you cancel. All your subscriptions and add-ons renew on the same date in one charge. If you start one partway through a month, the first charge covers only the days until that date.

You can cancel at any time in the app. Cancelling stops future charges. You keep the extra perks until the end of the month you have already paid for, and your membership is not affected. If a monthly payment fails, the subscription ends. We tell you before a subscription price goes up, and the new price applies from the next month.

8. Selling a membership

You can offer your membership to other members on Talent Shares by setting the least you are willing to accept. The sale goes through at the time shown in the app, at a price no lower than your minimum. When it sells, the membership moves to the buyer and you no longer receive its perks.

Before you can sell, you must set up a payout account with Stripe, which may ask you to prove who you are. From the sale price, we first deduct the payment processor's fee and any sales tax. Of what remains, you receive 94%, the Talent receives 2% and Talent Shares keeps 4%. The app shows you what you will receive before you confirm. We send payouts once a month.

You cannot sell a membership until its payment has cleared, within 30 days of buying it, or while its payment is disputed. The app shows the date from which you can sell. If the buyer's payment fails or is reversed, the sale is cancelled, the membership returns to you and the money you received is taken back.

You are responsible for any tax on what you receive. Stripe may send you a tax form if the law requires one.

9. Refunds and failed payments

All sales are final once you have received the membership, except where we made a mistake, such as charging you twice or charging the wrong amount. In that case we refund you. If memberships sell out while you are paying, we refund you automatically. Where the law gives you a right to a refund, these terms do not take it away.

If a payment fails, is reversed or is disputed with your bank, we may pause or remove the membership or subscription it paid for, and suspend your account until the matter is settled.

If you have a problem with a charge, please write to us first at info@talent-shares.com. We can usually fix it faster than a bank dispute can.

10. Perks

The Talent chooses and provides the perks. We show each perk as the Talent describes it. Some perks depend on how long you have been a member, how many memberships you hold or whether you have a subscription. Perks can depend on things outside our control, such as a tour schedule or a venue. A Talent may change or replace perks, and we ask Talents to tell members in advance.

If a Talent stops offering perks on Talent Shares, we will tell you what happens to your membership. [What members receive if a Talent leaves.]

11. What you post

You keep ownership of the photos, posts and messages you share on Talent Shares. You give us a worldwide, non-exclusive, royalty-free license to host, show and share them within Talent Shares so the service can work. The license ends when you delete the content or your account, except for copies others have already shared or that we must keep by law.

Only post what you have the right to post. Talents own what they create. You may not copy, record or share a Talent's members-only content outside Talent Shares without the Talent's permission.

12. Rules of use

You agree not to:

We may remove content or limit an account that breaks these rules.

13. Closing your account

You can ask us to delete your account at any time by writing to info@talent-shares.com from the email address on your account. Deleting your account ends your memberships and subscriptions without a refund, so you may want to sell your memberships first. Our Privacy Policy explains what we delete and what we must keep.

We may suspend or close your account if you break these terms, if the law requires it, or to protect members, Talents or Talent Shares. Where we can, we tell you why and give you a chance to respond. If we close your account without good reason, we refund what you paid for memberships you can no longer use.

14. Warranties and liability

We work hard to keep Talent Shares running well, but we provide it "as is". To the extent the law allows, we make no promises beyond those in these terms.

To the extent the law allows, Talent Shares is not liable for indirect or consequential losses. Our total liability to you is limited to the greater of what you paid us in the 12 months before the claim and US$100. Nothing in these terms limits liability that the law does not allow us to limit.

15. Disputes and governing law

If you have a concern, please contact us first so we can try to resolve it. These terms are governed by the laws of [state], without regard to its conflict of law rules. [How disputes are resolved: courts of a named state, or individual arbitration with a small-claims option and a class-action waiver.]

16. Changes to these terms

We may update these terms. If a change matters, we tell you in the app or by email at least 30 days before it takes effect. If you keep using Talent Shares after that, the new terms apply. If you do not agree, you can close your account.
